1. Definitions

a) “Services” refer to all writing, editing, SEO, content creation, or platform-related tools provided by Merit Content.

b) “User” or “You” refers to individuals or businesses accessing or using our Services.

c) “Client” refers to users ordering content services.

d) “Writer” refers to freelance writers contracted to produce content for Merit Content.

2. Use of Our Website & Services

You agree to use the website and Services only for lawful purposes and not to engage in activities that could:

a) Harm the platform or disrupt service functionality

b) Misuse proprietary content, tools, or intellectual property

c) Attempt unauthorized access to systems or data

d) You must be at least 18 years old to use our Services.

3. Account Registration

Certain Services may require you to create an account. You agree to:

a) Provide accurate and complete information

b) Keep your login credentials confidential

c) Notify us immediately of unauthorized access or suspicious activity

You are responsible for all activities conducted under your account.

4. Service Orders & Payments (For Clients)

Clients may order content through our platform or via direct communication. By placing an order, you agree to:

a) Pay the price indicated before the project begins

b) Provide clear instructions for writers

c) Approve or request revisions within the allowed timeframe

All payments must be made in full before delivery unless otherwise agreed.

Late payments or chargebacks may result in suspension of your account.

5. Writer Responsibilities (For Writers)

Writers contracted through Merit Content must:

a) Deliver original, high-quality, plagiarism-free content

b) Follow instructions, SEO guidelines, tone, and deadlines

c) Maintain confidentiality of client information and internal processes

d) Avoid submitting AI-generated content without disclosure or approval

Additional terms for writers are outlined in the Writer Service Agreement.

6. Content Ownership & Licensing

For Clients

Upon full payment, all rights to the purchased content transfer to the Client.

For Writers

Writers agree that all submitted content becomes the property of Merit Content or its clients. Writers may not republish, resell, or use the content for personal use without written permission.

Merit Content may use anonymized project data for quality control and training purposes.

7. Revisions & Refunds

Merit Content offers revisions based on the original brief. We do not offer refunds for:

a) Completed work

b) Work rejected due to unclear or incomplete instructions

c) Change-of-mind after project delivery

Refunds are issued only in rare cases where the Company fails to deliver work entirely.

8. Prohibited Activities

You agree not to:

a) Engage in spamming, scraping, or automated data extraction

b) Copy or reuse proprietary website content or code

c) Post or transmit harmful or illegal materials

d) Bypass Merit Content to work directly with writers or clients obtained through our platform

Violation of this may result in immediate termination.

9. Intellectual Property

All assets on the Merit Content website—including logos, text, software, images, and materials—are protected by copyright and trademark laws.

You may not use any of our intellectual property without written permission.

10. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your data.

11. Disclaimer of Warranties

Our Services are provided “as is” and “as available” without warranties of any kind. We do not guarantee:

a) Error-free or uninterrupted service

b) Specific performance outcomes

c) That content will rank on search engines

Users access the platform at their own risk.

12. Limitation of Liability

To the maximum extent permitted by law, Merit Content is not liable for:

a) Delay, loss, or damages from using our Services

b) Errors or inaccuracies in content submitted by writers

c) Loss of profits, revenue, or data

Your sole remedy for dissatisfaction is to discontinue use of the Services.

13. Indemnification

You agree to indemnify and hold Merit Content harmless from claims, damages, losses, or legal fees arising from:

a) Misuse of our Services

b) Violation of these Terms

c) Actions or content submitted by writers or clients

14. Termination

We may suspend or terminate access to our Services at any time, with or without cause, including:

a) Breach of these Terms

b) Fraudulent activity

c) Abuse of our platform or staff

Upon termination, all rights granted to you cease immediately.

15. Modifications to the Terms

We may update these Terms periodically. Continued use of the Services after updates constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of Kenya, without regard to conflict-of-law principles.
